1. ORDER #1 (Commission) Consequently with this long and costly background to Arkansas ratepayers, the purpose of this Docket is to make clear that this Commission is opening a detailed investigation as to whether Entergy Arkansas, Inc. (EAI) – independent of its parent company – is investigating all options when the current Entergy System Agreement (ESA) terminates in December 2013, and whether EAI is taking all necessary corrective actions to ensure and protect its Arkansas ratepayers against such continued detrimental effects associated with EAI’s participation in the ESA and the operation and control of the ETS, including transmission assets owned by EAI and paid for by its ratepayers....Therefore, it is the intent of the Commission in this new Docket to timely and aggressively consider such steps in anticipation of initiating the stand-alone project no later than early 2012, with full implementation no later than December 19, 2013. To that end EAI is directed to focus all resources as may be necessary to finalize the stand-alone study and stand-alone implementation plan for consideration by this Commission....Therefore, EAI is directed to file in this newly-established investigative docket all documents, data, studies or analyses furnished to date to the APSC or the APSC Staff in that docket regarding any potential successor ESA or agreements within 20 days of this order as well as all future submissions or filings related to successor agreements. EAI is further directed to file all documents, data, studies or analyses furnished, formally or informally, to any other Entergy retail regulator concerning potential successor agreements to the ESA within 20 days of this order as well as all future submissions or filings related to successor agreements. All such future filings shall be filed simultaneously in this Docket when filed with or mailed to other Entergy retail regulatory agencies. Additionally, EAI is directed to file copies of any draft successor agreement to the ESA as well a copies of any communications between EAI and ESI or other EOCs regarding a successor agreement to the ESA which are not included in other filings with the Commission within 20 days of this order as well as all such future communications or drafts. Finally, EAI is directed to provide the Commission, within 10 days of the date of this Order, with the names, titles, and business addresses of all Entergy employees, including the Entergy affiliate by which they are employed, involved with negotiating a new system agreement with EOCs. Any entity desiring to intervene as an official party in Docket No. 10-011-U must submit within fifteen (15) days of the date of this Order a formal Petition to Intervene that strictly complies with Rule 3.04 of the Commission’s Rules of Practice and Procedure (“RPP”). Any replies to Petitions to Intervene must be filed within seven (7) days of the date of the Petition’s filing. (1). In addition to the information and testimony EAI is required to file by the directives outlined above, EAI may file testimony or exhibits on any other matters relevant to this proceeding it would like the Commission to consider. Such testimony shall be filed no later than 12 noon on March 1, 2010. All witnesses having information or filing testimony related to the Commission’s requests for information outlined above should be prepared to appear at the Show Cause Evidentiary Hearings established by this Order. (2) The Commission will consider all filings to date at a Show Cause Evidentiary hearing in this Docket, which is set to begin at 9:30 a.m. on Thursday, March 11, 2010, in Commission Hearing Room No. 1 in the Arkansas Public Service Commission Building located at 1000 Center Street, Little Rock, Arkansas. (3) Rebuttal Testimony by the General Staff of the Arkansas Public Service Commission and any Intervenors shall be filed by 12 noon on March 30, 2010. (4) Surrebuttal Testimony by EAI shall be filed by 12 noon on April 14, 2010. (5). A second Show Cause Evidentiary Hearing will be held on Tuesday, May 11, 2010. 2. ORDER #2 (Commission) Southwest Power Pool (SPP) is hereby made an official party to Docket No. 10-011-U without the necessity for formally petitioning to intervene under the Commission’s Rules of Practice and Procedure. In order to ensure significant progress toward the completion of a comprehensive seams agreement, Entergy Arkansas Inc., (EAI) and SPP are ordered to file a seams agreement reflecting whatever issues have been agreed upon when they file their compliance report for the month of February 2010, which is due on March 1, 2010. In addition, EAI and SPP are to provide a detailed status report regarding the progress to date on all remaining issues and what needs to be done to complete work on these issues. Further, for the purpose of hearing from EAI and SPP regarding their efforts on completing a comprehensive seams agreement, the Commission will schedule a public hearing by subsequent order. ORDER #31 (COMMISSION) The Commission finds that Midwest Independent Transmission System Operation (MISO) has a unique and direct interest in this proceeding that is not adequately represented by any other party. Further, although MISO's Petition was not timely filed in accordance with the requirements of Order No. 1 issued in this Docket on February 11, 2010, the Commission will make an exception in this instance given MISO's unique interest in this proceeding and given that no party to this proceeding has filed an objection to MISO's Petition. ORDER #54 (COMMISSION) The purpose of this Order is to provide guidance to EAI regarding the finalization of its post-ESA reorganization plans, which must be in place no later than Wednesday, December 18, 2013, at which time Entergy Arkansas Inc., (EAI) will exit the ESA. EAI has requested Commission guidance “sooner rather than later” so it can eliminate pursuit of multiple reorganization paths, both to save time and resources. This Order provides guidance to EAI regarding the circumstances under which EAI’s post-ESA reorganization will serve the public interest, convenience and necessity as required by Arkansas law. … The Commission directs EAI to file a concrete, integrated plan for EAI’s post-ESA reorganization, independent of the other OpCos, including generation planning, resource acquisition and all other aspects of its utility operations excluding transmission as soon as possible but in any event no later than January 11, 2012, as described more fully below. … The Commission directs EAI to file its plan for integration into an RTO, without regard to the timing or other considerations of the other OpCos, within thirty (30) days of this Order. … In order for the Commission to remain informed and abreast of all post-ESA reorganization activities undertaken by EAI between this Order’s issuance and December 18, 2013, EAI shall file periodic reports on the following matters—among others as required—as dictated below. The obligation for filing these Reports carries with it the obligation to engage in constructive, aggressive and meaningful activities to ensure EAI will operate independently from the OpCos no later than December 19, 2013, and thereafter. In addition, these reporting requirements will remain in effect until EAI is relieved of such obligation by Commission order. Note: for any filings pursuant to this Order due on an Arkansas state holiday or weekend, the report is due on the following business day. In addition, all filings are due no later than 12 noon. 1. Beginning on January 6, 2012, and on the first business day of each month thereafter: a) EAI shall provide a status report related to continued efforts to improve the ICT arrangement to maximize the benefits of the ICT and make progress on construction and other improvements to the ETS, including the progress of plans for post-November 2012 reconfiguration or reorganization (when the current ICT arrangement expires); b) EAI shall provide a detailed explanation, in the form of testimony, regarding EAI’s efforts and plans for post-ESA generation planning on an EAI-only basis, including resource procurement, etc.; c) EAI shall file a report regarding EAI’s efforts and plans for post-ESA transmission infrastructure planning on an EAI-only basis; and d) EAI shall file a status report regarding all transmission construction projects planned or being undertaken in EAI’s footprint, including amounts budgeted for each project and the in-service dates (both estimated and actual). 2. Beginning on January 6, 2012, and on the first business day of each month thereafter, EAI shall provide a progress report on all activities associated with transitioning to membership in an RTO, including an estimate of costs expended to date and the anticipated timeline for integration. For all reports subsequent to the November 30, 2011 report, details should include only those activities that have occurred or circumstances that have changed since filing the prior month’s report. The Commission appreciates that EAI has, at this point in time, some difficult and serious decisions to make in order to balance the interests of its ratepayers and shareholders while satisfying the dictates of this Commission as embodied in this Order and developed throughout the entirety of this Docket. After twenty months of inquiry, including multiple rounds of testimony and hearings, it is clear that under any reasonable scenario, EAI will be able to effectively, efficiently and timely reorganize for post-ESA operations beginning no later than Thursday, December 19, 2013. kr

EAI’s Application to Transfer Functional Control of its Electric Transmission Facilities to the Midwest Independent Transmission System Operator Regional Transmission Organization is granted conditioned upon full and continued compliance by EAI and MISO with each of the Order No. 68 Conditions; 2. Failure by EAI or MISO to comply fully with each of the Order No. 68 Conditions will trigger action by the Commission pursuant to Condition No. 5; 3. EAI’s Motion to Discontinue Activities Necessary to Operate as a true
Stand-Alone Electric Utility is granted; 4. EAI’s request for approval to defer its MISO transition costs, without the
addition of carrying costs, is granted subject to EAI compliance with the five ratepayer protection provisions as recommended by Staff witness Hilton and as set forth above. However, a prudence finding regarding such transition costs is specifically reserved to be addressed and considered in a later proceeding in which EAI seeks to incorporate
such costs into its retail rates. Also, nothing in this Order shall constitute a finding that such costs are approved for recovery through EAI’s retail rates; 5. EAI and MISO are directed to file in this Docket on the first business day
of each month, beginning on May 1, 2013, Supplemental Testimony providing monthly updates regarding the progress of the integration of EAI into MISO process; critical developments in the various Entergy/MISO related proceedings pending before the FERC and before Entergy’s other retail regulators; and ongoing compliance with the Order No. 68 Conditions; 6. By subsequent Order the Commission will establish a procedural schedule for the consideration of MISO’s Application for a Certificate of Convenience and Necessity (CCN) (MISO’s Application) pending before the Commission in Docket No. 11-165-U. By its Application MISO seeks an Arkansas CCN “to transact the business of an
electric public utility in the State of Arkansas for the limited purpose of asserting functional control over transmission facilities of MISO transmission owning members subject to this Commission’s jurisdiction.” MISO Application at 9.
